Terms and Conditions for Vendors

The show promoter is Happy Event Productions, LLC hereinafter referred to as 'PROMOTER'. Applicant to sell at the show is hereinafter referred to as 'VENDOR'

When Vendor pays for a spot Vendor agrees to the following terms included herein and included as referenced in the Load instructions provided to the vendor for each show. Vendor further agrees to abide by the rules of the Venue, which may or may not be available on the Venue webste. For information regarding the Venue's rules, regulations or prohibitions; Vendor is advised to contact the venue directly. Failure to understand the rules of the venue or failure to read these terms or load out instructions is not an affirmative action towards release of your obligations in this agreement.

There are no reserved booth locations. Vendor will be assigned their booth at the time of check-in at the discretion of Promoter. Upon payment, Vendor has contracted and is entitled to a booth at the event. While payment guarantees a booth at the event, it does not guarantee a specific booth or location. If you have a preference of booth location, you may indicate that on the application, however, Promoter is not bound by Vendor's request. Verbal agreements as to location of booth are not binding on Promoter.

Applications submitted without a payment form are not guaranteed a booth at the event. filling out the application does not ensure you will have a booth at the event. The only surety for a booth is when a payment is received. If you make a partial payment to hold a booth, this payment is non-refundable and the balace must be paid prior to 45 days of the event. Failure to make full payment will result in forfeiture of your deposit and the booth will be available for sale. The total balance due is payable in full before booth assignment is granted. If Vendor has not paid their full amount, they will not be permitted to vend at the event.

In the event a vendor does not show on the day of the event, their payment is non-refundable. If you are unable to attend the show, Vendor must contact the show promoter (in advance of the show date) for arrangements to apply your payment to a future show. This is only available in extreme circumstances and if booths are available at a future show. Failure to contact the promoter or failure to show on the day of the event is not grounds for a refund. I understand that there is no refund of any monies paid in partial or in full, regardless of reason or request including but not limited to, venue change, weather conditions, facility failure or negligence. Facility failure or malfunction is including but not limited to electrical, plumbing elevators, Audio Video equipment, air conditioning, heating, fire, flood, act of God etc. The promoter reserves the right to change the event venue, time, and or date at the discretion of promoter. Any changes in venue, date or time will be made on the webste and an email sent to participating vendors. Failure to receive an email regarding changes is not grounds for refund. It is the responsibility of the vendor to ensure they have received the load instructions and vendor package prior to the show. All request for load instructions are to be directed to sal@artisancraftfestival.com The promoter reserves the right to change the vendor booth cost to reflect the needs and the demands of Happy Event Promotions LLC.

There is no exclusivity in this event, however Promoter will attempt to prevent selling a booth to two identical Vendors. Promoter will attempt to accomodate all vendors and place Vendors with very similar items at sufficient distance from each other. Promoter does not guarantee that another Vendor will not have similar or like products. It is important that you fully disclose your products in the Products/Services Description field on the application.

If Vendor requires special accomodations under the ADA, please make a note of this in your application under the Special Instructions. All Venues are ADA-compliant, however it is your responsibility to inform Promoter if you have a special need or requirement.

Vendor agrees to permit Promoter to charge Vendor's credit card using our secure payment system for all charges associated with the Booth rental. In the event of non-payment or chargeback, chargeback fees in the amount of $100 are assessed against the Vendor. Vendor agrees to pay full amount to Promoter plus any fees.

Vendor grants to Promoter an exclusive, irrevocable right and license to use without restriction or renumeration, the Vendor's logo, likeness and/or products in the promotion of the show. This may include one or more of the following: inclusion on the official website, event pages, social media properties, published magazines, billboards, public display advertising, television, radio and other media and other websites where Promoter chooses to promote the show and future shows. Vendor further agrees that photographs and video taken by Promoter staff is the property of Promoter and that Promoter may use such photography and video in the promotion of future shows, without permission or renumeration to Vendor.

Promoter will make available to Vendor; flyers, handout cards and digital imagery assets at no charge to Vendor. The Vendor is free to advertise the event and the website in their social media and website as long as they link directly to the official website at www.artisancraftfestival.com or the official Facebook page at www.facebook.com/ArtisanCraftFestival or the event pages at either Eventbrite or Facebook. Vendor is not permitted to infer or state that they are associated, employed or an agent of Artisan Craft Festival or Promoter.

Vendor agrees to hold harmless Promoter and Venue from any and all claims, lawsuits, demands, causes of action, liability, loss, damage and/or injury arising out of, in any way whatsoever, any acts, omissions, negligence or willful misconduct on the part of Promoter, it's officers, owners, personnel, employees, agents, contractors, invitees, attendees or volunteers.

Vendor agrees that No verbal agreements have been made and that everything agreed to is in the applicaion and these terms. Any and all "Show Guarantees" must be written and signed by Vendor and Promoter to be valid by separate agreement.
